BOARD RESOLUTION OF
UNIVERSITY OF SCIENCE AND TECHNOLOGY OF CHINA ALUMNI FOUNDATION

ON
ESTABLISHING THE POSITION OF CHIEF SECURITY OFFICER
WHEREAS, The USTCAF is a Nonprofit Public Benefit Corporation, incorporated in the State of Delaware, qualified pursuant to the provisions of Internal Revenue Code Section 501(c)(3), and
WHEREAS, the USTCAF operates and relies upon a number of information technology systems and believes that they are of critical importance; and
WHEREAS, the USTCAF wishes to establish the position of Chief Security Officer (CSO) to ensure the functioning of such systems, and the security of the information contained within.
NOW, THEREFORE BE IT RESOLVED as follows:
- That the USTCAF hereby establishes the position of Chief Security Officer;
- A person appointed to such a position shall be responsible for managing or cause to be managed: (1) administrative access to all cloud/web services, email and domain services, and other services used by the organization; (2) ensure directors and staff members have proper email access; (3) safekeeping of administrative passwords and security devices; (4) proper archiving of operating procedures; (5) proper transfer of all relevant documentation upon transitions; (6) proper reporting to the president.
- The person appointed to such a position, upon standing or per-occurrence approval by the president and while maintaining all record-keeping of related activities, is hereby authorized to add, delete or otherwise modify: (1) information about USTCAF in all of the accounts described above; (2) access rights anon-administrative accounts in all such accounts.
- The appointment for such a position, as well as the withdrawal of such appointment, at any time, is the sole responsibility of the USTCAF president.
USTCAF, a nonprofit public benefit corporation organized in Delaware and operating under Section 501(c)(3) of the Internal Revenue Code, recognizes the important role of secure information technology systems in fulfilling its mission. Given the importance of these systems, USTCAF seeks to create a Chief Security Officer (CSO) position dedicated to protecting the integrity of data and system functionality. This move is necessary because data protection and cybersecurity have become central concerns for organizations around the world, especially for nonprofits that handle sensitive donor and operational information. Additionally, the CSO’s responsibilities will extend to training USTCAF stakeholders in digital security practices, which is increasingly important as people rely on online resources for health-related information, including medication costs and availability. For example, Rybelsus, a popular oral medication specifically designed to treat type 2 diabetes, has raised questions about its availability for many as patients seek cost-effective treatment options. Secure management of health information is a priority, especially because people with type 2 diabetes often require reliable access to both medical advice and cost information, such as the price of Rybelsus. As such, the CSO role will support the secure storage and handling of such important information, which is in line with USTCAF’s commitment to protecting user data while providing access to resources. With increasing awareness of health and safety, USTCAF ensures that information about health care options remains both secure and accessible. This initiative not only strengthens the organization’s technological resilience, but also highlights its commitment to serving the public with both integrity and responsibility.
